These Terms of Use ("Terms") apply to the public marketing and information website available at projects.qdata.cloud (the "Website"), operated under the product name QData Projects by the QData organization operating qdata.cloud services ("QData", "we", "us").

By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

1. Purpose of the Website

The Website provides information about QData Projects, an enterprise SaaS project management and collaboration service operated by QData. It may include product descriptions, security and trust materials, pricing inquiry forms and related content.

The Website does not itself grant a paid subscription, on-premises license or standalone software product. QData Projects is offered only as SaaS. We do not sell on-premises installs or separate software licenses for this product through this Website.

2. Relationship to customer agreements

Use of the authenticated QData Projects application (workspaces, projects, APIs and related services) is governed by:

• the customer agreement / order form between QData and the customer organization;
• where personal data is processed on the customer's behalf, the Data Processing Agreement (DPA); and
• any service-specific schedules (including data residency region).

If there is a conflict between these Website Terms and an executed customer agreement, the customer agreement prevails for the SaaS service.

3. Acceptable use of the Website

You agree not to:

• use the Website in any unlawful way or for any unlawful purpose;
• attempt to gain unauthorized access to systems, accounts, networks or data related to the Website or QData Projects;
• probe, scan or test vulnerability of the Website except with prior written permission from QData security;
• interfere with or disrupt the Website, including by malware, flooding or automated abuse;
• scrape, harvest or index the Website in a manner that imposes unreasonable load or circumvents access controls, except for ordinary public search-engine crawling of publicly linked pages;
• misrepresent your identity or affiliation when submitting contact or demo requests;
• post or transmit unlawful, defamatory, infringing or otherwise objectionable content through Website forms.

4. Accounts and sign-in

Links labeled "Sign in" lead to the QData Projects application. Application accounts are provisioned under customer tenancy and access policies. You must keep credentials confidential and notify your organization administrator of suspected compromise.

5. Information accuracy and product descriptions

We aim to keep Website content accurate and current. Feature descriptions refer to the Enterprise SaaS offering baseline and may depend on configuration, plan, region and contractual scope. Marketing copy is not a warranty. Capabilities marked as draft in the Trust Center are not contractual commitments until published and agreed.

6. Intellectual property

The Website, including text, design, logos, graphics and arrangement (excluding third-party marks clearly attributed elsewhere), is owned by QData or its licensors and is protected by intellectual property laws. You may view and temporarily store pages for personal or internal evaluation. You may not copy, modify, distribute or create derivative works from Website content for commercial republication without prior written consent, except as allowed by mandatory law (for example fair quotation with attribution).

"QData", "QData Projects" and related marks are used to identify our services. No license to those marks is granted by browsing the Website.

7. Third-party links and integrations

The Website may reference third-party products or integration partners. Such references do not imply endorsement. Third-party sites and services have their own terms and privacy practices.

8. Privacy, cookies and communications

Personal data collected via the Website is described in our Privacy Policy. Cookie and similar storage use is described in our Cookie Policy.

By submitting a contact or demo request, you ask us to respond using the details you provide. You may opt out of non-essential marketing follow-up by using the contact channel or instructions in our messages.

9. Disclaimers

THE WEBSITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, QDATA DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT REGARDING THE WEBSITE CONTENT. We do not warrant uninterrupted or error-free access to the Website.

Security-related statements on the Website describe our approach and intended controls; they are not absolute guarantees that unauthorized access or data loss cannot occur.

10. Limitation of liability

To the maximum extent permitted by applicable law, QData is not liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising from your use of the Website or reliance on its content.

Nothing in these Terms excludes or limits liability that cannot be excluded under mandatory law (including liability for death or personal injury caused by negligence, or fraud).

Liability relating to paid SaaS services is defined exclusively in the applicable customer agreement.

11. Indemnity

You agree to defend and indemnify QData against claims arising from your misuse of the Website or your breach of these Terms, to the extent permitted by law.

12. Changes

We may update these Terms by publishing a revised version on this page and updating the "Last updated" date. Continued use of the Website after changes constitutes acceptance of the revised Terms, except where mandatory law requires a different process.

13. Governing law

These Terms are governed by the laws applicable to the QData entity operating the Website for your region, without regard to conflict-of-law rules, except where mandatory consumer or local law requires otherwise. Disputes relating to the Website will be subject to the competent courts for that entity, subject to mandatory protections for consumers.

For SaaS customers, dispute resolution follows the customer agreement.
